These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MemVerse ("Company," "we," "us," or "our"). By creating an account, accessing, or using MemVerse's website, mobile application, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date and, for material changes, by email notification at least 30 days before the changes take effect. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.
Certain features of the Service may be subject to additional terms and conditions, which will be presented to you when you access those features. Such additional terms are incorporated into these Terms by reference.
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. While the Service is designed for families and may include content about or created by minors, only adults may hold accounts.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We will not be liable for any loss or damage arising from your failure to protect your account information.
MemVerse is an AI-powered family storytelling and heritage preservation platform that enables users to record, transcribe, organize, and preserve family memories through voice recordings, photographs, and other media.
The Service includes AI-powered features provided through third-party services:
You acknowledge and agree that: (a) the Service relies on third-party AI providers; (b) your content will be processed by these providers as described in our Privacy Policy; (c) AI-generated content may contain errors or inaccuracies; and (d) we do not guarantee the accuracy, completeness, or reliability of AI-generated content.
We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
You retain all ownership rights to the content you upload, record, or create through the Service ("User Content"), including voice recordings, photographs, videos, text, and other materials. MemVerse does not claim ownership of your User Content.
By uploading or creating User Content, you grant MemVerse a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, and display your User Content solely for the purposes of: (a) providing and improving the Service; (b) processing your content through our AI features; (c) creating backups; and (d) complying with legal requirements. This license terminates when you delete your User Content or close your account, except for content that has been shared with others or retained for legal compliance.
Content generated by our AI features (such as story titles, family wisdom insights, and suggested prompts) based on your User Content is provided to you for your personal use as part of the Service. You may use such AI-generated content for personal, non-commercial purposes.
The Service, including its original content, features, functionality, software, design, trademarks, logos, and documentation (excluding User Content), is and will remain the exclusive property of MemVerse and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.
The Service is provided for your personal, non-commercial use to preserve and share family memories. You may not use the Service for any commercial purpose without our prior written consent.
You agree not to:
You are solely responsible for all User Content you upload. You represent and warrant that: (a) you own or have the necessary rights to use and authorize the use of your User Content; (b) your User Content does not violate any third party's rights; and (c) you have obtained consent from individuals depicted or mentioned in your content (or their legal guardians for minors).
We do not actively monitor User Content but reserve the right to review, remove, or disable access to any content that we believe violates these Terms or is otherwise objectionable, without prior notice.
The Service may be offered as a free tier with limited features or as paid subscription plans with additional features. Features and pricing for each plan are described on our website and may change from time to time.
If you purchase a paid subscription:
We may change subscription prices at any time. Price changes will take effect at the start of the next billing period after we provide you with at least 30 days' notice. Your continued use after the price change constitutes acceptance. If you do not agree, you must cancel before the new price takes effect.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of that period. No refunds will be provided for partial billing periods.
Refunds are provided at our sole discretion. We may provide refunds in the following circumstances:
If you cancel or downgrade your subscription, you may lose access to certain features and stored content may be subject to storage limits. We recommend exporting your data before downgrading.
You may close your account at any time by using the account deletion feature in your settings or by contacting us at mira@memverse.co. Upon account closure, we will delete your User Content in accordance with our Privacy Policy.
We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe:

We recommend exporting your data before closing your account. Once your account is deleted, we cannot recover your User Content.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant or guarantee that:
The Service relies on third-party providers (including Google and OpenAI) over which we have no control. We disclaim all liability for the acts, omissions, or failures of third-party service providers.
While we implement reasonable backup procedures, we do not guarantee against data loss. You are solely responsible for maintaining your own backups of important User Content.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEMVERSE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF MEMVERSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF MEMVERSE FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO MEMVERSE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless MemVerse, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (e) any claim that your User Content caused damage to a third party.
These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
Before initiating any formal dispute resolution proceeding, you agree to first contact us at mira@memverse.co and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved through good-faith negotiation.
If we cannot resolve a dispute informally, any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of SIAC for the time being in force. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.
YOU AND MEMVERSE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both you and MemVerse waive any right to a jury trial.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and MemVerse regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by MemVerse.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.
MemVerse shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, government actions, pandemics, or internet or telecommunications failures.
We may provide notices to you via email, posting on the Service, or other reasonable means. You must send notices to us at mira@memverse.co or by mail to our registered address.
We respect intellectual property rights and expect users to do the same. If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, please provide our designated agent with the following information:
